      2. Commitments to ethical sourcing, fair labor practices, and environmental sustainability.
      3. Compliance with anti-bribery, corruption, and fair competition laws.

      2. All internal teams involved in procurement, vendor management, and supply chain operations.

  2. Supplier & Vendor Selection Standards

    1. 2.1 Vendor Qualification Criteria:

      1. Net Onboard evaluates suppliers and vendors based on:
        1. Ethical Business Practices: Commitment to anti-corruption and fair competition.
        2. Sustainability Standards: Compliance with environmental and social responsibility goals.
        3. Financial & Operational Stability: Ability to deliver quality products/services consistently.
        4. Regulatory Compliance: Adherence to Malaysia’s business and trade laws.
    2. Due Diligence & Risk Assessment:

      1. Vendors undergo compliance checks, financial audits, and reputation reviews before engagement.
      2. Net Onboard reserves the right to reject vendors that do not meet ethical or quality standards.
  3. Ethical Sourcing & Fair Labor Practices

    1. Fair Wages & Safe Working Conditions:

      1. Suppliers must comply with Malaysia’s Employment Act 1955.
      2. Vendors must provide fair wages, humane working conditions, and safe workplaces.
    2. No Forced Labor, Child Labor, or Discrimination:

      1. Child labor, forced labor, or unethical employment practices are strictly prohibited.
      2. Vendors must promote diversity, equity, and inclusion (DEI) in hiring and employment practices.
    3. Respect for Workers’ Rights & Freedom of Association:

      1. Suppliers must allow employees freedom to form unions and negotiate fair employment terms.
  4. Environmental Sustainability in Procurement

    1. Sustainable Material Sourcing:

      1. Vendors are encouraged to use eco-friendly, renewable, and recyclable materials.
      2. Net Onboard prioritizes suppliers with carbon-neutral and low-waste production processes.
    2. Energy Efficiency & Green Procurement:

      1. Preference is given to vendors utilizing renewable energy and energy-efficient technology.
      2. Packaging should be minimal and environmentally friendly whenever possible.
    3. Waste Reduction & Circular Economy Support:

      1. Suppliers must implement proper waste disposal, e-waste recycling, and resource conservation strategies.
  5. Compliance with Anti-Bribery & Anti-Corruption Laws

    1. Zero Tolerance for Corruption & Bribery:

      1. Vendors must comply with the MACC Act 2009 and ISO 37001 Anti-Bribery Standards.
      2. Any form of bribery, kickbacks, or facilitation payments is strictly prohibited.
    2. Conflict of Interest Disclosure:

      1. Vendors must disclose any personal or financial relationships with Net Onboard employees.
      2. Employees involved in procurement must not accept gifts exceeding RM500 in value.
    3. Whistleblower Protection & Ethics Reporting:

  6. Vendor Performance Monitoring & Contract Compliance

    1. Ongoing Compliance & Supplier Audits:

      1. Net Onboard conducts annual vendor compliance reviews and performance audits.
      2. Suppliers failing compliance checks may be placed on probation or terminated.
    2. Contract Termination for Non-Compliance:

      1. Suppliers failing to meet ethical, quality, or regulatory standards may have contracts terminated immediately.
      2. Legal action may be taken against vendors involved in fraud, misrepresentation, or contract violations.
  7. Enforcement & Non-Compliance Consequences

    1. Violations of this Policy May Result In:

      1. Suspension or termination of vendor agreements.
      2. Financial penalties or legal action for serious breaches.
      3. Blacklisting from future procurement opportunities.
  8. Governing Law & Dispute Resolution

    1. This policy is governed by Malaysian law, including:

      1. The MACC Act 2009 (Anti-Bribery & Corruption)
      2. The Employment Act 1955 (Fair Labor Regulations)
      3. The Competition Act 2010 (Fair Trade & Business Conduct)
    2. Vendor disputes will be resolved through mediation before arbitration or legal proceedings.
