Affiliate, Reseller & Referral Program Agreement – Partnering for Growth

1. Introduction
   1. Net Onboard Sdn Bhd offers affiliate, reseller, and referral programs to expand our reach and create mutually beneficial partnerships with businesses, marketers, and individuals.
   2. This Affiliate, Reseller & Referral Program Agreement governs:
      1. Eligibility and participation requirements for affiliates, resellers, and referral partners.
      2. Commission structures, payment terms, and performance expectations.
      3. Legal and compliance obligations for partners promoting Net Onboard’s services.
   3. This agreement applies to:
      1. Affiliates who promote Net Onboard’s services and earn commissions on sales.
      2. Resellers who purchase Net Onboard’s services at discounted rates and resell them to customers.
      3. Referral partners who introduce new clients and receive rewards based on successful sign-ups.
   4. This agreement aligns with:
      1. Malaysia’s Contracts Act 1950
      2. Personal Data Protection Act (PDPA) 2010
      3. Competition Act 2010 (Fair Trade & Anti-Monopoly Regulations)
2. Program Eligibility & Enrollment
   1. Who Can Apply?
      1. Businesses, agencies, independent marketers, and individuals with a valid taxpayer identification number (TIN).
      2. Affiliates must have a verified website, blog, or social media platform with relevant industry traffic.
      3. Resellers must maintain active customer support and compliance with Net Onboard’s branding guidelines.
   2. Application & Approval Process:
      1. Interested parties must submit an application via [email protected].
      2. Approval is at the discretion of Net Onboard, and we reserve the right to reject applications without disclosure of reasons.
   3. Account Activation & Onboarding:
      1. Approved partners will receive a unique tracking link, marketing assets, and access to the partner portal.
      2. Resellers will be assigned an account manager for technical and sales support.
3. Commission Structure & Payment Terms
   1. Affiliate Commission & Payment Terms:
      1. Affiliates earn commissions based on verified and completed sales.
      2. Standard commission rate: 10% per sale. Higher rates apply for high-performance affiliates.
      3. Payments are made on the 15th of each month for commissions exceeding RM1000.
   2. Reseller Pricing & Discount Model:
      1. Resellers receive tiered discounts based on monthly sales volume.
      2. Discount tiers:
         1. 5% discount for RM10,000–RM20,000 sales.
         2. 10% discount for RM20,001–RM50,000 sales.
         3. 15% discount for sales exceeding RM50,000.
   3. Referral Rewards:
      1. Referrers receive a one-time RM100 reward per qualified customer sign-up.
      2. The referral must remain an active customer for at least 90 days before the reward is paid.
   4. Payout & Commission Validity:
      1. All payments are processed via bank transfer.
      2. Commissions and discounts are voided if a sale is canceled, refunded, or disputed.
4. Compliance & Ethical Marketing Guidelines
   1. Prohibited Affiliate & Reseller Activities:
      1. False advertising or misleading claims about Net Onboard’s services.
      2. Use of spam, unauthorized email marketing, or unethical SEO tactics.
      3. Bidding on Net Onboard-branded keywords in paid advertising campaigns.
   2. Approved Marketing & Promotional Methods:
      1. Partners must use official banners, videos, and content provided by Net Onboard.
      2. Advertisements must comply with Net Onboard’s Ethical Marketing & Advertising Policy.
   3. Branding & Trademark Guidelines:
      1. Affiliates and resellers must not alter Net Onboard’s logo, tagline, or brand messaging.
      2. Unauthorized modifications or rebranding of Net Onboard’s services are strictly prohibited.
5. Account Termination & Policy Violations
   1. Grounds for Termination:
      1. Violation of this agreement or any fraudulent activities.
      2. Inactive accounts with no sales for 6 consecutive months.
      3. Engaging in unethical marketing practices or brand misrepresentation.
   2. Effects of Termination:
      1. Affiliates and resellers lose access to commission payouts, discounts, and partner resources.
      2. Pending commissions may be forfeited if the termination is due to a policy violation.
6. Confidentiality & Data Protection
   1. Protection of Partner & Customer Data:
      1. Personal data collected during the partnership must be handled in compliance with PDPA 2010.
      2. Net Onboard does not share customer information with affiliates or resellers beyond necessary transaction details.
   2. Non-Disclosure of Business Terms:
      1. Partners must not disclose pricing structures, commissions, or internal communications to third parties.
7. Governing Law & Dispute Resolution
   1. This agreement is governed by Malaysian law, including:
      1. The Contracts Act 1950
      2. The Personal Data Protection Act (PDPA) 2010
      3. The Competition Act 2010 (Anti-Monopoly & Fair Trade Regulations)
   2. Disputes related to this agreement will be resolved through mediation before arbitration or legal proceedings.
8. Amendments & Updates
   1. Net Onboard reserves the right to update this Affiliate, Reseller & Referral Program Agreement at any time.
   2. Partners will be notified of material changes via email or partner portal announcements.
